SMLOUVA O PŘEVODU DRUŽSTEVNÍHO PODÍLU:

- The Transferor declares that the Transferor’s cooperative share in HA is not encumbered by any rights of third parties.
- The Transferor further declares that prior to the conclusion of this Contract acquainted the Acquirer with CA and the Acquirer declares that the condition of CA at the date of signing the Contract is sufficiently known to the Acquirer and that before signing the agreement the Acquirer examined CA to the extent of the lease agreement with HA, physically checked the conditions of CA and without reservations, comments or objections agrees to conclude a lease agreement to CA with HA. CA shall be taken over by the Acquirer from the Transferor, on the basis of signing a written handover protocol between the Contracting Parties, signing of which shall not be unreasonably refused by any of the Contracting Parties. The written protocol report will contain in particular the current status of media meters (electricity, water, gas, etc.).
- Both the Transferor and the Acquirer declare that they are both aware of the factual constructional and technical condition of the transferred CA and the common parts of the house, as well as the legal regime associated with HA membership and the lease of the CA.
- The Transferor further declares that the Transferor is entitled to conclude this Agreement, that the Transferor is entitled to dispose of the cooperative share, and that the Transferor’s right of disposal is not restricted in any way. The Transferor also expressly declares that the Transferor is not aware of any facts that could imply a restriction, impediment or impossibility to exercise the membership rights and obligations towards the HA by the Acquirer, or which could mean limiting, making it difficult or impossible for the Acquirer to lease the CA. The Transferor further declares that, in connection with the transfer of the cooperative share to the Acquirer under this Agreement, the Transferor has not withheld any material data and facts relating to the cooperative share and CA, in particular matters relating to obligatory payments or debts associated with the cooperative share and HA membership; facts that could have a material effect on the transfer of a cooperative share or on determining a contractual price or the exercise of HA’s rights and obligations.
- The Acquirer declares that the Acquirer is aware that, together with the cooperative share, the Acquirer acquires all rights and obligations associated with this cooperative share in HA, including, inter alia, the debts related
